How a foreigner can open a company in Uzbekistan in 2026

By Natali Shumilovskaya · · 9 min read

A foreign national can be the sole founder and director of a limited liability company in Uzbekistan. Registration itself runs on the public services portal in real time and takes no more than 30 minutes. Everything else is preparation: the founder's PINFL, an electronic digital signature, an address and founding documents in the state language.

Key takeaways

  • A foreigner can be the sole founder and director of an LLC; the register entry is made in real time and within no more than 30 minutes.
  • Documents of companies whose founders include foreign nationals must be signed with an electronic digital signature.
  • An ordinary LLC has no minimum charter fund, an enterprise with foreign investment needs 400 million soum, and the registration duty is the same for both forms.
  • The term «legal address» does not exist in the law, but a company may occupy a flat in an apartment building only after the premises are converted to non-residential status.
  • There is no need to order a seal: the production of seals and stamps is not required for registration or for day-to-day work.

What to prepare before filing

Before filing you need the founder's personal number, an electronic signature, an address, a company name and founding documents in the state language. Without them the request in the system simply cannot be completed.

The procedure for obtaining the personal number is described on the public services portal: you need a valid passport and a temporary registration certificate, plus a power of attorney if a representative applies. The details are in a separate article on PINFL for foreigners and on the service page.

An LLC or an enterprise with foreign investment

In most cases an ordinary limited liability company suits a foreigner better: it has no minimum charter fund requirement, and the state registration duty is the same as for an enterprise with foreign investment.

The status of an enterprise with foreign investment adds no tax benefits in IT by itself: the preferential regime comes with IT Park resident status, and the requirements there are different. What exactly is expected from a resident is covered in the article on how to obtain IT Park resident status.

The charter fund: how much and when to pay it in

For a limited liability company the size of the charter fund is set by the charter and consists of the nominal value of the participants' shares — the Law on Limited Liability Companies sets no general minimum. Each participant pays in their contribution within the period set by the founding documents, and that period cannot exceed one year from state registration.

A minimum exists only for particular forms. The requirements are collected in an annex to the Regulation on state registration of business entities: an enterprise with foreign investment — 400 million soum, a general partnership — 50 BCV, and for licensed activities the figure comes from the licensing requirements. The criteria for treating a company as an enterprise with foreign investment — a share of at least 15 per cent and a charter fund from 400 million soum — come from Decree No. UP-5495 of 1 August 2018.

How registration works

Registration is electronic, through the Unified Portal of Interactive Public Services; the registering bodies are State Service Centres. The procedure looks like this.

  1. You build the request. You choose the public service "Registration of a new business entity" and fill in the application in the prescribed form.
  2. You pick a company name. The system offers available options in the Latin alphabet, checks them for identity and reserves your choice for 60 calendar days.
  3. You attach the founding documents. In the state language, as an electronic document or a PDF scan; each document is a separate file of no more than 10 MB.
  4. You sign the documents with an EDS. For companies with foreign founders this is mandatory, not an alternative to a handwritten signature.
  5. You pay the state duty. The system calculates the rate automatically; you can pay by card, at a bank cash desk or by transfer from a settlement account.
  6. You receive the documents. The registration certificate and founding documents arrive in your business entity cabinet and at the e-mail you provided, signed with an official's EDS and carrying a QR code.

The term for registration itself is stated on the service card on the portal: in real time, but no more than 30 minutes. That is the time to enter the record in the register, not the time for the whole preparation: PINFL, signature, translation of documents and the address are handled before filing, while the bank account and tax registration come after. The in-person route also remains: you can go to the registering body yourself.

Important There is no need to order a company seal. Neither state registration of a business entity nor running the business requires the production of seals and stamps — that is written directly into the Regulation on state registration.

The legal address: what the law actually requires

The very term "legal address" does not exist in Uzbek legislation: the law works with the organisation's postal address — the location stated in the founding documents and the registration certificate. This is explained by accounting publications, and in practice the argument is usually not about wording but about premises.

There is one hard restriction. Using, hiring or renting residential premises in apartment buildings for industrial purposes is prohibited, and an enterprise, institution or organisation may be located in a flat only after the premises are converted to non-residential status — article 9 of the Housing Code.

The practical conclusion: the address must be real and reachable, because notices go there and inspectors look for you there. A change of address is registered within 10 days of the change, and the simplified notification procedure is available if the company has no tax arrears above the established threshold.

What it costs to open a company

The law fixes only part of the costs — the state duty and fees. Everything else depends on your contractors and your own situation.

Cost itemAmountWhere it is set
State duty for registering a legal entity1 BCV — 440,000 soum from 1 September 2026Law on State Duty, rate 7
State duty for registering an enterprise with foreign investment1 BCV, the same amountSame source

Registration at the place of stay for up to one monthFree of chargeLaw on State Duty, rate 19

The base calculation value was raised to 440,000 soum from 1 September 2026 by Decree No. UP-115 of 23 June 2026, and the duty rates are set in the Law on State Duty No. ZRU-600. The remaining items — renting an address, an electronic signature, translation and certification of documents, accounting support — are not priced in legislation, so ask for quotes rather than relying on someone else's table. And bear in mind: the duty you have paid is not refunded, including when registration is refused.

Can you register a company without coming to the country

Yes. Registration is electronic and does not require the founder's physical presence — IT Park describes exactly this route through its One Stop Shop in its guide for foreign founders.

The remote route runs into two things: the electronic signature and the bank. A foreign founder must have a signature, while remote account opening during registration is allowed by the Regulation for legal entities whose founders are residents of Uzbekistan. For a company with a foreign founder the procedure differs, and it is better to clarify it with the bank in advance.

So the question "to travel or not" is decided by payments rather than by registration: where you will sign documents, who gets access to the account and how the bank will identify you. What a bank asks such a company is covered in the article on opening a corporate account.

What to do immediately after registration

After state registration the company applies to a bank for accounts — and for that the bank needs no originals or copies of the registration certificate and founding documents: it takes the data from the system.

The procedure and deadlines for the status application are collected in the article on IT Park resident status, and what the regime is worth in money is in the article on taxes for IT Park residents. No special visa is needed for any of this: an IT Visa settles the question of stay, not of business registration.

Common mistakes

Most refusals and delays are not about the law but about the document set. Here is what comes up most often.

One more common mistake is planning by a calendar of "we will do it all in N days". Registration really does take minutes, but preparation depends on how quickly you obtain the personal number and the signature, translate the documents and agree on an address. Count step by step, not with one overall deadline.

How we work with this

Syntra Systems is an IT company from Tashkent and an IT Park resident. We do not register companies or provide legal support: that is work for lawyers and accountants. What is gathered here can be checked against the legal acts, with a reference for every point.

Our part starts once the company is registered: requests and clients tracked in a CRM, data exchange between systems, servers and the working processes that later feed reporting. From the technical support page, the closest services are support of working systems from $700 a month and project development from $1,500 a month.

Frequently asked questions

Does a foreigner have to travel to Uzbekistan to open a company?

Not for the registration itself: the application is filed electronically and signed with an EDS, and IT Park describes a remote route through its One Stop Shop. Travel is more often driven by the bank and by obtaining the personal number, so the procedure is clarified with the specific bank in advance.

What is the minimum charter fund for an LLC in Uzbekistan?

There is no general minimum: the amount is set by the charter and consists of the nominal value of the participants' shares. A minimum exists only for particular forms and for licensed activities — for an enterprise with foreign investment, for example, it is 400 million soum.

Can a company be registered at a home address?

In an apartment building only after the premises are converted to non-residential status: using residential premises for industrial purposes is prohibited, and organisations may be located there only after conversion. In any case the address must be real, because official notices are sent to it.

How much is the state duty for registering a company?

One base calculation value. From 1 September 2026 the BCV equals 440,000 soum, so the duty is the same amount. It is paid before registration and is not refunded, including when registration is refused.

Does a company need a company seal?

Ordering a seal isn't required, either for registration or for day-to-day work — producing seals and stamps is not a requirement, as set out in point 20 of the Regulation on State Registration. Company documents are signed with an electronic digital signature, which is mandatory for companies with foreign founders.

How long does registration take?

The registry entry itself is made in real time, in no more than 30 minutes. Preparation takes longer: a PINFL is processed in 2–4 business days, plus the digital signature, document translation and the legal address. Count it step by step, not as a single deadline.
